New York Digital Equities Exchange (NYDEE)

Exchange-Purpose-Vision

Exchange Purpose & Vision

The New York Digital Equities Exchange is being developed as a regulated digital equities marketplace intended to support the compliant issuance and trading of digital equity instruments within established securities law and regulatory frameworks, including but not limited to U.S. federal securities laws such as the Securities Act of 1933 and the Securities Exchange Act of 1934.

The exchange is structured to bridge traditional capital markets with digitally native infrastructure while maintaining the core principles that underpin modern securities markets — investor protection, enforceable disclosure, transparency, and accountable corporate governance.

The platform is purpose-built for digital equity instruments representing real operating companies, tangible assets, regulated investment structures, and established commercial enterprises.

Listing Philosophy &
Institutional Standards

NYDEE applies an institutional-first listing philosophy.

Only issuers demonstrating real-world economic substance are eligible to participate. Eligible issuers must operate within legally recognized corporate structures and issue Digital Equity Units tied to bona fide business activity or asset ownership.

Projects that rely on speculative token issuance, informal governance models, or conceptual documentation without regulatory standing are not eligible for admission.

NYDEE does not function as a cryptocurrency trading venue or a marketplace for experimental digital asset projects.

Compliance-Framework-Legal-Review

Compliance Framework &
Legal Review

All issuers seeking admission to NYDEE are subject to a comprehensive legal, regulatory, and compliance assessment prior to listing.

Informal materials — including white papers, technical outlines, or promotional documentation — are not recognized as substitutes for legally enforceable disclosure.

Digital Equity Units admitted to trading on NYDEE must be supported by appropriate SEC-compliant documentation, including registered offerings or recognized exemption frameworks, and must adhere to ongoing reporting, audit, and disclosure obligations under applicable securities laws.

Corporate-Control-Voting-Transparency

Corporate Control, Voting &
Transparency

NYDEE incorporates blockchain-enabled systems to facilitate secure, auditable shareholder voting and corporate actions.

These mechanisms are designed to improve operational efficiency and transparency while remaining fully aligned with U.S. corporate governance requirements, fiduciary duties, and regulatory oversight.

Digital governance functionality on NYDEE enhances — rather than disrupts — legally recognized shareholder rights and established governance processes.
